SECTION 1 – ONLINE STORE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your place of residence, or that you are the age of majority and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorised purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content (not including payment card information), may be transferred unencrypted and involve
(a) transmissions over various networks; and
(b) changes to conform and adapt to technical requirements of connecting networks or devices.
Payment card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

1. Description of Services

GEXFI LIMITED agrees to provide the following professional services to the client:

• Provide for the exchange of New Zealand currency into foreign currencies and the exchange of foreign currencies into New Zealand currency. GEXFI LIMITED may use the services of Collinson Forex Limited to provide some or all of these services to the client;

• Dealing in non-cash payment products;

• Provide any relevant online information inquiry service.

2. Confidentiality

2.1 In completing this Application Form and Agreement for Services, you may supply GEXFI LIMITED with information which is personal information subject to New Zealand’s Privacy Act 2020 (as amended).

2.2 As a general statement, GEXFI LIMITED agrees to keep any confidential data supplied by clients confidential and to make no disclosure thereof to any third party, except as required by law.

2.3 You acknowledge that the information that we obtain about you will be used for the purposes of:
(a) assessing your current and ongoing credit worthiness;
(b) providing and administering your trading/exchange account;
(c) maintaining the integrity and effectiveness of GEXFI LIMITED’s credit records and those of any associated companies and credit reporting agencies;
(d) collecting, compiling and/or reviewing information relating to your credit history and credit rating;
(e) marketing goods and services provided by GEXFI LIMITED and its related companies unless you notify us otherwise;
(f) ensuring compliance with all regulatory obligations under New Zealand law;
(g) providing you access to your personal information upon request.

2.4 You irrevocably authorise us:
(a) to obtain information reasonably required from any source including sanctions screening agencies, credit reporting agencies, past and current credit providers, and law enforcement authorities;
(b) to collect, retain and use such information for the purposes outlined above, including electronic marketing communications;
(c) to disclose reasons for decline of an application to an agent or broker where applicable;
(d) to share relevant information with Collinson Forex Limited.

3. Written Terms and Conditions to Prevail

These terms and conditions apply to all Applications/Agreements with us. Where any inconsistency exists, these terms and conditions shall prevail and constitute an agreed variation of any prior agreement.

4. Client Warranties

The client is responsible for ensuring compliance with all applicable laws, including anti-money laundering and consumer protection laws. The client shall be responsible for all taxes associated with the services, including income tax, withholding tax, GST, VAT, sales tax, customs and excise duties. If GEXFI LIMITED incurs any such taxes, the client shall promptly reimburse GEXFI LIMITED.

5. Resolution of Customer Inquiries

GEXFI LIMITED shall be responsible for responding to and resolving inquiries and complaints arising from use of its services.

6. Compliance with Laws

Clients agree to indemnify and hold harmless GEXFI LIMITED from any losses arising from the client’s failure to comply with applicable laws. All information provided by the client is warranted to be true, accurate and complete and is deemed an ongoing representation.

7. Indemnification / Limitation of Liability

7.1 GEXFI LIMITED’s liability for any error, delay or non-performance shall be limited to a refund of the service fee paid for the affected transaction.

7.2 Under no circumstances shall GEXFI LIMITED be liable for indirect, incidental, special or consequential damages. Aggregate liability shall not exceed the lesser of fees paid in the six months prior to the claim or NZD 50,000.

7.3 Where services cannot be completed due to external events (including bank freezes, regulatory actions, force majeure), GEXFI LIMITED’s sole obligation is to repay the principal amount actually received, when reasonably able.

8. Terms and Termination

GEXFI LIMITED may suspend or terminate services without notice where services are used for gambling, money laundering, or any unlawful purpose, or where information provided is false or misleading. GEXFI LIMITED may terminate this agreement upon thirty (30) days’ written notice.

9. Collinson Forex Limited

GEXFI LIMITED may utilise Collinson Forex Limited to provide services. The client consents to this and agrees that Collinson Forex Limited’s standard trading terms and conditions shall apply.

10. Miscellaneous

This Agreement constitutes the entire agreement between the parties and may only be amended in writing. The client may not assign rights without prior written consent. This Agreement is governed by the laws of New Zealand.

SECTION 3 – SECTION 18

Sections 3 through 18 (Accuracy of Information, Modifications, Products or Services, Optional Tools, Third-Party Links, User Comments, Personal Information, Errors and Omissions, Prohibited Uses, Disclaimer of Warranties, Indemnification, Severability, Termination, Entire Agreement, Governing Law, Changes to Terms)
remain unchanged in substance and effect, and apply mutatis mutandis to GEXFI LIMITED under New Zealand law.
